These General Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client”) and VMINT Corp, operating under the trading name Cosmonyx, a corporation incorporated under the laws of Canada with:

• Registered as a Money Services Business (MSB) with FINTRAC (Canada)
• Registered Address: 1-300 Supertest Road, North York, Ontario, Canada, M3J 2M2
(“Cosmonyx”, “we”, “us”, or “our”).
Cosmonyx operates as a regulated Money Services Business (MSB) in Canada and provides Virtual Asset services in compliance with applicable Canadian laws governing Virtual Asset Service Providers (VASPs) under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA) and FINTRAC regulatory framework.
By clicking “I agree with the General Terms and Conditions”, you confirm that you have read, understood, and accepted these Terms and agree to be legally bound by them. If you do not agree, you must not access or use our platform or services.
We recommend downloading and retaining a copy of these Terms, as they may be updated from time to time.
About Cosmonyx
Cosmonyx is a B2B fintech platform operated by VMINT Corp and registered as a Money Services Business (MSB) in Canada, regulated by the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC).
Cosmonyx operates as a Virtual Asset Service Provider (VASP) under applicable Canadian AML/CTF regulations and provides, subject to regulatory compliance and approval, the following services:• Virtual Asset exchange services
• Virtual Asset over-the-counter (OTC) trading services
• Fiat-to-virtual asset and virtual asset-to-fiat transfer services (where applicable and permitted by regulation)Our operations are governed by applicable Canadian federal and provincial laws, including but not limited to:
• The Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA)
• FINTRAC regulations
• Applicable sanctions and anti-terrorism legislation
Risk Disclosure
Virtual Assets are subject to significant market volatility and risk. By using our Services, you acknowledge and agree that:
• Virtual Asset prices may fluctuate significantly and unpredictably;
• Transactions may be irreversible;
• Regulatory changes may impact availability or legality of services;
• You fully understand and accept the risks associated with Virtual Asset transactions;
• You assume full responsibility for any losses incurred.
Cosmonyx does not provide financial, investment, tax, or legal advice and does not guarantee profits or protection against losses.
Definations
Capitalised terms used in these Terms, including but not limited to “Account,” “Client,” “Fiat,” “Virtual Asset,” “Platform,” and “Website,” shall have the meanings set out in the applicable glossary or as otherwise defined herein.
General Obligations
Client Obligations
You agree to:
• Act in good faith and comply with these Terms;
• Provide accurate, complete, and up-to-date information;
• Promptly report any suspicious, unauthorized, or fraudulent activity;
• Comply with all applicable laws, including AML/CTF obligations.
Cosmonyx Obligations
We agree to:
• Provide Services in good faith;
• Maintain regulatory compliance as required under Canadian law;
• Apply risk-based AML/CTF controls in accordance with FINTRAC obligations.
Eligibility
You may use our Services only if you:
• Are at least 18 years old and have full legal capacity;
• Are a legal entity or natural person in a jurisdiction where our Services are lawful;
• Successfully complete KYC, AML, and risk assessments;
• Do not use our Services for unlawful, prohibited, or sanctioned activities.
Cosmonyx reserves the right to restrict access in high-risk or sanctioned jurisdictions.
Representations and Warrenties
You represent and warrant that:
• You meet all eligibility requirements;
• All information you provide is accurate, complete, and not misleading;
• You understand and accept the risks associated with Virtual Assets;
• All funds and assets used originate from legitimate and lawful sources;
• You will promptly notify us of any material changes affecting your eligibility or compliance status.
Account Creation and Security
To access our Services, you must create an Account and complete identity verification.
You agree to:
• Maintain the confidentiality of your credentials;
• Use strong passwords and update them regularly;
• Immediately notify us of any suspected security breach or unauthorized access.
Account Maintenance
You are solely responsible for all activities conducted through your Account.
Cosmonyx reserves the right to:
• Monitor transactions and account activity;
• Apply transaction limits or restrictions;
• Freeze, suspend, or terminate accounts for compliance, regulatory, or risk reasons;
• Request enhanced due diligence documentation where required.
Fees & Exchange Rates
Applicable fees, charges, and exchange rates are published on our Website and may be updated at our discretion. You authorize Cosmonyx to deduct applicable fees directly from your Account without prior notice.
AML / CTF Compliance
Cosmonyx complies with Canadian AML/CTF laws and FINTRAC requirements. You agree to:
• Provide requested identification and verification documentation;
• Undergo periodic reviews and ongoing monitoring;
• Cooperate fully with compliance procedures.
We may:
• Request source-of-funds or source-of-wealth documentation;
• Delay, restrict, or reject transactions;
• Report suspicious activities to FINTRAC or other competent authorities.
Prohibited Use
You must not use our Services to:
• Engage in illegal, fraudulent, or deceptive activities;
• Launder money or finance terrorism;
• Evade sanctions or regulatory controls;
• Infringe intellectual property rights;
• Interfere with or damage systems or services.
Violation may result in immediate suspension and regulatory reporting.
Supported Virtual Assets
Supported Virtual Assets are listed on our Website and may change at any time.
Cosmonyx is not responsible for losses arising from:
• Unsupported asset transfers;
• Blockchain network failures;
• Third-party protocol vulnerabilities.
Intellectual Property
All intellectual property rights related to the Platform are owned by Cosmonyx or its licensors. You may not copy, modify, distribute, or exploit such rights without prior written consent.
Liability & Indemnity
To the maximum extent permitted by law:
• Services are provided “as is” and “as available”;
• Cosmonyx disclaims all express and implied warranties;
• We are not liable for market volatility, service interruptions, system failures, or unauthorized access beyond our reasonable control;
• You agree to indemnify Cosmonyx against third-party claims arising from your breach of these Terms.
Nothing limits liability where prohibited by law.
Taxes
You are solely responsible for determining and fulfilling any tax obligations arising from your use of the Services or Virtual Asset transactions.
Termination
Cosmonyx may suspend or terminate your Account at any time for regulatory, compliance, risk, or business reasons.
You may request Account closure in writing at:

Termination does not affect outstanding obligations.
Amendments
We may update these Terms at any time. Changes will be published on our Website and will become effective seven (7) calendar days after publication. Continued use of the Services constitutes acceptance.

Final Provisions
• These Terms constitute the entire agreement between the Parties;
• No third-party rights are created;
• Cosmonyx may assign its rights and obligations without your consent;
• If any provision is deemed invalid, the remaining provisions remain enforceable.
